By accessing or using the RutaAPI service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
1. Acceptance of Terms
By creating an account or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and BDR FIDUCIARY LLC ("Company," "we," "us").
2. Service Description
RutaAPI provides a developer API gateway that enables access to AI model services through OpenAI-compatible endpoints. The Service includes:
- OpenAI-compatible API endpoints for AI model access
- Model routing across supported upstream providers
- Prepaid API credit system for billing
- Developer dashboard for usage tracking and account management
RutaAPI is not affiliated with, endorsed by, or connected to OpenAI, Anthropic, Google, Meta, or any other upstream AI model provider.
3. Account Registration
You must provide accurate and complete information when creating an account. You are solely responsible for maintaining the confidentiality of your API keys and for all activities that occur under your account. You agree to notify us immediately at support@rutaapi.com of any unauthorized use of your account.
4. Prepaid Credits
All payments are processed through the developer dashboard at https://app.rutaapi.com/register?lng=en. Credits are prepaid and deducted per API request at the rates displayed in your dashboard. Credits have no cash value and are non-transferable. Please review our Refund Policy for information on credit refunds.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy. Prohibited uses include, but are not limited to:
- Any illegal activity or unlawful purpose
- Generation or distribution of malware, viruses, or harmful code
- Phishing or attempts to fraudulently obtain credentials
- Sending unsolicited commercial messages (spam)
- Any activity that violates the terms of service of upstream AI model providers
6. API Usage & Rate Limits
Your use of the API is subject to rate limits and usage quotas as configured in your account. We reserve the right to adjust rate limits at any time with reasonable notice. Excessive or abusive usage that degrades Service quality for other users may result in account suspension.
7. Intellectual Property
The Service, including its design, branding, and documentation, is owned by BDR FIDUCIARY LLC or its licensors and is protected by intellectual property laws. You retain ownership of any content you submit through the Service. By using the Service, you grant us a limited license to process your requests as necessary to provide the Service.
8. Third-Party Providers
The Service relies on upstream AI model providers ("Providers"). We do not guarantee the availability, accuracy, or output of any Provider's models. Provider services are subject to their own terms of service and policies. RutaAPI is a separate service from any Provider and is not responsible for the actions, omissions, or policies of Providers.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
RutaAPI is not affiliated with, endorsed by, or connected to OpenAI, Anthropic, Google, Meta, or any other model provider. All third-party model provider names are used for identification purposes only.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BDR FIDUCIARY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
11. Indemnification
You agree to indemnify, defend, and hold harmless BDR FIDUCIARY LLC and its officers, directors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your violation of these Terms or your use of the Service.
12. Termination
We may suspend or terminate your account and access to the Service at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users or the integrity of the Service. Upon termination, your right to use the Service ceases immediately.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BDR FIDUCIARY LLC is registered, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts of that jurisdiction.
